Read the Terms and Conditions governing your use of OSP Platform.
1 Introduction
These Terms and Conditions constitute a legally binding agreement between the company "Softlizer Technology Solutions" owning and operating the platform (referred to as "Company") and any natural or legal person accessing or using the platform (referred to as "User").
By accessing the platform or creating an account, the User acknowledges and agrees to be bound by these terms in their entirety.
2 Nature of Service
The Platform is a cloud-based software system (Software as a Service – SaaS) It was developed by Softlizer Technology Solutions, providing digital administrative tools for:
- Homeowners' Associations (HOAs)
- Residential Communities
- Subscriptions/dues
- Budgets
- Service Providers
- Maintenance requests
- Meetings and Electronic Voting
3 Account Registration
- The User warrants that all provided information is accurate and current.
- The User is solely responsible for maintaining the confidentiality of their login credentials.
- The Company reserves the right to suspend or terminate any account in the event of misuse, abuse, or any breach of these Terms and Conditions.
4 Subscriptions and Fees
- Services are provided on a recurring subscription basis in accordance with the selected plan.
- Fees shall be paid periodically via the Company's officially designated payment methods.
- Subscription activation is subject to successful payment confirmation.
- Unless otherwise required by law, fees are non-refundable once the subscription period has commenced.
- The Company reserves the right to adjust pricing or subscription tiers with prior notice.
5 Acceptable Use Policy
Users are strictly prohibited from:
- Utilizing the Platform for any unlawful or unauthorized purposes.
- Uploading fraudulent or misleading data.
- Attempting to hack or disrupt the integrity of the system.
- Reproducing, reselling, or exploiting the Platform without express written authorization.
6 Data Accuracy
- The Platform operates based on data input by the Users.
- The Company assumes no liability for the veracity, accuracy, or completeness of such data.
- Reports generated by the Platform are for organizational purposes only and do not constitute certified legal or financial audits.
7 Third-Party Service Providers and Maintenance
- The Platform serves merely as a facilitator for communication and organization.
- The Company does not guarantee, and shall not be held liable for, the quality or outcomes of services provided by third-party providers.
- Contractual relationships between Users and third parties are independent of the Company.
8 Electronic Voting and Meetings
- The Platform provides tools to facilitate electronic voting and meeting management.
- Compliance with local statutory requirements is the sole responsibility of the Users.
- The Company bears no legal liability regarding the outcomes or the formal accreditation of voting results.
9 Limitation of Liability
- The Company shall not be liable for any indirect, incidental, or consequential damages, loss of profits, or disputes arising between Users.
- The Company's total aggregate liability shall not exceed the actual subscription fees paid for the period during which the dispute arose.
10 Intellectual Property
All intellectual property rights associated with the Platform—including but not limited to software, source code, designs, and databases—remain the exclusive property of the Company.
11 Service Suspension and Termination
The Company may, at its sole discretion, suspend or terminate access to the Platform for:
- Breach of these Terms and Conditions
- Failure to pay subscription fees
- Any form of abuse
12 Force Majeure
The Company shall not be held liable for any failure or delay in performance resulting from circumstances beyond its reasonable control, including natural disasters, infrastructure failures, or changes in regulatory requirements.
13 Amendments
The Company reserves the right to modify these Terms at any time. Continued use of the Platform constitutes the User's acceptance of the updated Terms.
14 Governing Law
This agreement shall be governed by and construed in accordance with the laws of the jurisdiction where the Company is headquartered, without prejudice to the Company's right to comply with the local regulations of any territory where the service is provided.
